Terms of Service
Please read these terms carefully before engaging FTN Consortium for any services.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and FTN Consortium ("Company", "we", "us", or "our"), governing your use of our website at ftnconsortium.com and the IT services we provide.
By accessing our website, submitting a project inquiry, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or engage our services.

1. Acceptance of Terms
By using the FTN Consortium website or engaging our services in any capacity — whether through our contact form, email, telephone, or a formal written agreement — you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full.
These Terms apply in addition to any separate written service agreement, statement of work, or proposal document signed between you and FTN Consortium. In the event of a conflict between these Terms and a signed agreement, the signed agreement shall prevail.
2. Services
FTN Consortium provides a range of IT services including, but not limited to:
- Custom web and application development (PHP, Laravel, WordPress, and more)
- Mobile application development (Flutter, native iOS and Android)
- Cloud infrastructure, migration, and DevOps services
- IT strategy consulting and digital transformation advisory
- Database design, optimisation, and management
- Artificial intelligence and business process automation
- Cybersecurity audits, vulnerability assessments, and remediation
- UI/UX design and branding
- Ongoing maintenance, support, and monitoring
The specific services, deliverables, timelines, and costs applicable to your project will be defined in a formal proposal or statement of work issued by FTN Consortium prior to commencement of work.
3. Project Engagement and Scope
All projects commence only after written confirmation of scope, timeline, and fees. Scope of work is agreed upon before development begins. Any additions or changes to the agreed scope after project commencement will be treated as a change request and may result in additional charges and revised timelines.
The Client is responsible for providing timely feedback, content, access credentials, and approvals as required. Delays caused by the Client may result in adjusted delivery dates without additional cost to FTN Consortium.
FTN Consortium will maintain regular communication throughout the project and provide progress updates at agreed intervals.
4. Payment Terms
Unless otherwise specified in a written agreement, the following payment structure applies:
- Advance payment: A deposit of 50% of the total project fee is required before work commences.
- Milestone payments: For larger projects, payments may be structured around agreed project milestones as specified in the proposal.
- Final payment: The remaining balance is due upon project completion, prior to final delivery or deployment.
All prices are quoted in Indian Rupees (INR) unless otherwise stated. Invoices are payable within 7 days of issue unless otherwise agreed. Late payments may attract interest at 1.5% per month on the outstanding amount. FTN Consortium reserves the right to suspend work on any project where payment is overdue by more than 14 days.
Refunds are considered on a case-by-case basis and are governed by the terms set out in the individual project agreement. Advance deposits are generally non-refundable once work has commenced.
5. Intellectual Property
Upon receipt of full and final payment for a project, FTN Consortium assigns to the Client full ownership rights to all custom code, designs, and materials created specifically for that project ("Deliverables"), except as described below.
FTN Consortium retains ownership of:
- Pre-existing proprietary frameworks, libraries, tools, or components developed by FTN Consortium prior to the project.
- Open-source components used within the project, which remain subject to their respective open-source licences.
- General methodologies, processes, and know-how developed through our work.
The Client warrants that all content, images, logos, trademarks, and materials provided to FTN Consortium for use in the project are owned by the Client or the Client has the legal right to use them. The Client indemnifies FTN Consortium against any third-party intellectual property claims arising from Client-provided materials.
FTN Consortium reserves the right to include completed projects in our portfolio and case studies unless explicitly requested otherwise in writing by the Client.
6. Confidentiality
Both parties agree to treat all non-public business information, technical specifications, pricing, and project details shared during the course of engagement as confidential. Neither party shall disclose such information to third parties without prior written consent from the other party, except as required by law.
FTN Consortium will not disclose any client data, system access credentials, or proprietary business information to any third party except as strictly necessary to deliver the agreed services (e.g., through use of hosting or development tools) and only under appropriate confidentiality obligations.
These confidentiality obligations survive the termination of any service agreement and remain in force for a period of three (3) years after the conclusion of the engagement.
7. Limitation of Liability
To the maximum extent permitted under applicable Indian law, FTN Consortium's total liability to the Client for any claim arising from or related to our services shall not exceed the total fees paid by the Client for the specific service that gave rise to the claim in the 12 months preceding the incident.
FTN Consortium shall not be liable for:
- Indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
- Failures, outages, or data loss caused by third-party hosting providers, cloud platforms, or infrastructure outside our direct control.
- Damages resulting from the Client's failure to provide accurate information, required approvals, or timely feedback.
- Any security breaches or vulnerabilities in third-party software, plugins, or integrations used within the project.
- Loss or corruption of data where the Client has not maintained adequate backups.
This limitation of liability is a fundamental element of the basis of the bargain between the parties. The services could not be provided at the rates specified without these limitations.
8. Warranties and Representations
FTN Consortium warrants that:
- Services will be performed with reasonable skill and care by qualified professionals.
- Deliverables will materially conform to the agreed specifications set out in the project proposal.
- We will comply with all applicable Indian laws in the performance of our services.
We provide a bug-fix warranty period of 30 days from the date of final project delivery, during which we will rectify any defects in the Deliverables at no additional charge, provided the defects are not caused by Client modifications, third-party integrations, or factors outside our control.
Except as expressly set out in these Terms, all warranties, conditions, and other terms implied by law are excluded to the fullest extent permitted.
9. Termination
Either party may terminate a project engagement by providing written notice. In the event of termination:
- The Client shall pay for all work completed up to the date of termination based on the agreed project rate or milestone structure.
- FTN Consortium will deliver all completed work to the Client upon receipt of all outstanding payments.
- Any advance payments made are non-refundable unless FTN Consortium is in material breach of the agreement.
FTN Consortium reserves the right to terminate a project with immediate effect if the Client engages in abusive, illegal, or unethical conduct, or fails to make payment within 30 days of the due date.
10. Governing Law and Jurisdiction
These Terms of Service and any disputes arising from them or from any service engagement with FTN Consortium shall be governed by and construed in accordance with the laws of the Republic of India.
Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts in India. Both parties agree to attempt good-faith resolution through negotiation before initiating formal legal proceedings.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
11. Changes to These Terms
FTN Consortium reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after any such changes constitutes your acceptance of the updated Terms. For ongoing service engagements, material changes to these Terms will be communicated by email.
